Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Formavique Studio ("Studio," "we," "us," or "our"), governing your access to and use of our design services, website, and any related deliverables or communications.

By engaging with Formavique Studio — whether by signing a project proposal, submitting an inquiry, making a payment, or otherwise commissioning our services — you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.

If you do not agree with any part of these Terms, you must discontinue use of our services immediately. We reserve the right to update these Terms at any time. Continued use of our services following any such update constitutes acceptance of the revised Terms.

2. Services Provided

Formavique Studio provides professional creative and design services, including but not limited to:

  • Brand Identity Design — development of comprehensive visual identity systems encompassing logo design, color systems, typography, and brand guidelines
  • Logo Design — strategic conceptualization and creation of original logo marks, wordmarks, and symbol systems
  • Graphic Design for Marketing Materials — design of print and digital marketing collateral including brochures, presentations, banners, and advertisements
  • Website and UI Design — user interface and user experience design for websites and digital platforms, including wireframing, prototyping, and visual design
  • Social Media Content Design — creation of visual assets, templates, and content packages optimized for social media platforms

The exact scope of services for each engagement will be detailed in a separate project proposal or statement of work agreed upon by both parties prior to commencement.

Scope Limitations

Services are limited to those explicitly described in the agreed project scope. Any work requested beyond the defined scope may result in additional fees and a revised timeline, which will be communicated and agreed upon in writing before additional work begins.

3. Project Process and Client Responsibilities

The success of any design project depends substantially on timely, clear, and constructive client participation. By engaging Formavique Studio, you agree to the following responsibilities:

Timely Feedback

You agree to provide feedback, approvals, and required materials within the timeframes specified in the project proposal. Delays caused by late client responses may result in revised project timelines without additional cost obligation to the Studio.

Accuracy of Information

You are responsible for ensuring the accuracy, completeness, and lawfulness of all content, data, imagery, and information you provide to the Studio for use in project deliverables. The Studio bears no liability for errors arising from inaccurate or incomplete client-supplied materials.

Design Approvals

Written approval of designs at each defined project milestone constitutes acceptance of that stage of work. Following approval, additional changes may be subject to revision fees as outlined in your project agreement.

Number of Revision Rounds

Each project proposal specifies the number of included revision rounds. Requests for revisions beyond the included number will be billed at the Studio's current hourly rate, which will be communicated prior to commencement of additional work.

4. Payment Terms

All fees and payment schedules are detailed in the individual project proposal. The following general terms apply to all engagements:

Deposit Requirement

A non-refundable deposit of fifty percent (50%) of the total project fee is required before any design work begins. This deposit secures the Studio's time and resources for your project and is not transferable to future projects.

Remaining Balance

The remaining balance is due upon project completion and prior to the transfer of final files and full ownership rights. For projects exceeding ninety (90) days in duration, interim milestone payments may be required as specified in the project proposal.

Late Payments

Invoices not paid within fourteen (14) days of the due date may be subject to a late fee of one and one-half percent (1.5%) per month on the outstanding balance. The Studio reserves the right to pause active project work until all outstanding balances are settled.

Taxes

All fees are exclusive of applicable taxes. You are responsible for any sales, use, or value-added taxes that may apply to services rendered in your jurisdiction.

5. Intellectual Property and Ownership

Client-Owned Work

Upon receipt of full and final payment for a completed project, Formavique Studio transfers to the Client all intellectual property rights to the final, approved deliverables. This transfer includes the right to reproduce, distribute, display, and modify the final designs for any lawful commercial purpose.

Studio Retained Rights

Formavique Studio retains the right to display completed work in its portfolio, case studies, social media channels, pitch materials, and other promotional contexts, unless the Client has specifically requested confidentiality in writing prior to project commencement.

Working Files and Source Files

Transfer of editable source files (such as Adobe Illustrator, Photoshop, or Figma files) is not included in the standard project scope unless explicitly stated in the project proposal. Source file handover may be purchased as an add-on service at an additional fee.

Third-Party Assets

Where third-party assets such as stock photography, typefaces, or illustration resources are incorporated into deliverables, appropriate licensing is the responsibility of the Client. The Studio will advise on licensing requirements but does not guarantee the continued availability or cost of such licenses.

Preliminary Concepts

All preliminary design concepts, mood boards, sketches, and rejected directions remain the intellectual property of Formavique Studio and may not be used by the Client without separate written agreement and additional compensation.

6. Confidentiality

Formavique Studio understands that Clients often share sensitive business information during the course of a project. We treat all client-provided information — including business strategies, financial details, unreleased product information, and internal communications — as strictly confidential.

We will not disclose confidential client information to any third party without your explicit written consent, except where required by law or legal process. This confidentiality obligation survives the termination of the project engagement.

You acknowledge that general knowledge, skills, experience, and techniques developed or refined during the course of work for you remain the professional property of the Studio and its team members.

7. Warranties and Representations

Each party represents and warrants to the other that:

  • It has full authority to enter into and perform under these Terms
  • Its performance under these Terms does not violate any agreement with any third party
  • All materials provided for use in the project are owned by, or properly licensed to, the providing party
  • The final deliverables, to the best of the Studio's knowledge, do not infringe upon the intellectual property rights of any third party

The Studio warrants that all design work is created with reasonable professional skill and care. Beyond this, the Studio makes no warranties, express or implied, including any implied warranty of fitness for a particular purpose or merchantability.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Formavique Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or deliverables, even if the Studio has been advised of the possibility of such damages.

The Studio's total cumulative liability in connection with any project shall not exceed the total fees paid by you for that specific project in the twelve (12) months preceding the event giving rise to liability.

The Studio is not responsible for the commercial success or failure of designs in the market, the reception of designs by end consumers, or any decisions made by the Client based on design deliverables.

9. Termination

Termination by Client

You may terminate a project at any time by providing written notice to the Studio. In the event of client-initiated termination, you remain obligated to pay for all work completed to the date of termination, calculated at the Studio's standard hourly rate where a fixed project fee was agreed. The initial deposit is non-refundable in all circumstances.

Termination by Studio

Formavique Studio reserves the right to terminate any engagement if the Client engages in abusive, harassing, or unlawful behavior, fails to make agreed payments, or requests work that the Studio determines to be unethical or in violation of applicable law. In such cases, the Client will be invoiced for all work completed to date.

Effect of Termination

Upon termination, the Studio will deliver all completed work product to the Client. Intellectual property rights to any completed and paid-for work will transfer to the Client. Rights to incomplete or unpaid work remain with the Studio.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of laws provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the services provided shall first be submitted to good-faith mediation. If mediation is unsuccessful within sixty (60) days of initiation, the parties agree to submit the dispute to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in Denver County, Colorado.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

11. General Provisions

Entire Agreement

These Terms, together with any project-specific proposal or statement of work, constitute the entire agreement between you and Formavique Studio with respect to the subject matter hereof, and supersede all prior or contemporaneous understandings, negotiations, or agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

No Waiver

The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Force Majeure

Neither party shall be liable for delays in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, power outages, or internet service disruptions. In such events, the affected party shall notify the other as soon as practicable and the project timeline shall be adjusted accordingly.
